Medical Terms of Services

These Medical Terms of Service (the “Medical Terms”) govern the provision of medical services through VIDA Clínica Virtual (“VIDA Clínica Virtual,” “we,” “us,” or “our”).

These Medical Terms apply only to medical services provided through VIDA Clínica Virtual (“Medical Services”). Your use of the broader offerings of the Website, including but not limited to, VIDA Notes and The Health Recovery Toolkit, is governed by the Website Terms and Conditions. The terms used and otherwise not defined herein will have the meaning ascribed to them in the Website Terms and Conditions.

Please read these Medical Terms carefully before receiving Medical Services. By requesting, scheduling, or receiving Medical Services, you acknowledge that you have had an opportunity to review these Medical Terms and agree to the terms applicable to the Medical Services you receive.

VIDA CLÍNICA VIRTUAL

VIDA Clínica Virtual is the medical-care component of the Website and provides physician-led, individualized virtual medical care. VIDA Clínica Virtual focuses on women's health, including conditions and symptoms that may arise in connection with hormonal changes. Depending on the services offered and your individual circumstances, Medical Services may address areas including premenstrual disorders such as premenstrual dysphoric disorder (“PMDD”), premenstrual exacerbation (“PME”), symptoms associated with perimenopause, preventive women's health, and other conditions or concerns within the clinical scope of VIDA Clínica Virtual. The specific Medical Services available to you will depend on your individual circumstances, clinical needs, eligibility, provider availability, applicable law, and the scope of services offered by VIDA Clínica Virtual. VIDA Clínica Virtual does not guarantee that any particular diagnosis, treatment, medication, test, referral, or other medical intervention will be provided.

ESTABLISHMENT OF THE PHYSICIAN-PATIENT RELATIONSHIP

A physician-patient relationship is established only in connection with the provision of Medical Services through VIDA Clínica Virtual and in accordance with applicable law. Creating an account, submitting an appointment request, completing an intake form, communicating with us before a clinical visit, or making a payment does not, by itself, establish a physician-patient relationship or guarantee that you will be accepted as a patient. A physician-patient relationship may be established when an appropriately qualified healthcare provider accepts you for care and undertakes to provide Medical Services to you. If VIDA Clínica Virtual determines that it is not appropriate or legally permissible to provide Medical Services to you, no physician-patient relationship will be established or continued through VIDA Clínica Virtual. Once a physician-patient relationship has been established, the provision of Medical Services will be governed by these Medical Terms, applicable law, and the professional obligations applicable to the treating healthcare provider.

ELIGIBILITY AND LOCATION

You must provide accurate and complete information about yourself, including information regarding your identity, location, medical history, medications, allergies, and other information reasonably necessary to provide Medical Services. Because telehealth is regulated based on the location of the patient and the healthcare provider, you must be physically located in a jurisdiction where VIDA Clínica Virtual and the applicable healthcare provider are legally permitted to provide the Medical Services at the time of your visit. You may be required to confirm your physical location before or during a virtual visit. If you are traveling, move to another jurisdiction, or otherwise change your physical location, you should inform us before receiving Medical Services. We reserve the right to decline, suspend, or discontinue Medical Services when the provision of care is not legally permissible or clinically appropriate in the jurisdiction where you are located.

TELEHEALTH SERVICES

VIDA Clínica Virtual provides Medical Services through telehealth and other permitted remote-care technologies. Telehealth allows healthcare providers to evaluate and communicate with patients through electronic and telecommunications technologies without an in-person visit. Depending on your circumstances, Medical Services may include virtual consultations, review of information you provide, clinical assessment, diagnosis, treatment planning, follow-up care, and other services within the provider's scope of practice. Telehealth has limitations. A virtual encounter may not provide the same information or capabilities as an in-person examination, and certain conditions or circumstances may require an in-person examination, testing, emergency evaluation, or other services that cannot appropriately be provided through telehealth. Your healthcare provider will determine, in their professional judgment, whether telehealth is appropriate for your particular circumstances. If your provider determines that you require in-person care, additional testing, emergency evaluation, or care from another healthcare professional, you may be advised or referred to obtain that care.

CLINICAL CARE AND PROVIDER JUDGMENT

Medical Services are individualized and are provided based on the information available to your healthcare provider and the provider's independent professional judgment. Your provider may determine that:

  • a particular diagnosis cannot appropriately be made through telehealth;
  • additional information, testing, examination, or records are needed;
  • a particular treatment or medication is not appropriate for you;
  • you should receive care from another healthcare professional or facility;
  • in-person care is necessary; or
  • VIDA Clínica Virtual is not the appropriate setting for your care.

You acknowledge that healthcare providers must exercise independent professional judgment in evaluating and treating patients. Nothing in these Medical Terms requires or guarantees that a healthcare provider will provide a particular diagnosis, prescription, treatment, referral, or other medical intervention.

YOUR RESPONSIBILITIES AS A PATIENT

You agree to provide information that is accurate, complete, and not misleading, including information regarding:

  • your medical history;
  • current and previous diagnoses;
  • medications and supplements;
  • allergies and adverse reactions;
  • relevant symptoms and changes in your health;
  • laboratory or diagnostic results when requested; and
  • other information reasonably necessary for your care.

You are responsible for promptly informing your healthcare provider about material changes in your health, medications, symptoms, or other information relevant to your care. You should ask questions when you do not understand information provided by your healthcare provider and should follow agreed-upon treatment plans unless you have discussed changes with your provider. You are responsible for maintaining access to the technology necessary to participate in virtual visits, including an appropriate device, internet connection, and functioning contact information.

APPOINTMENTS, COMMUNICATIONS, AND FOLLOW-UP

Medical Services may include scheduled virtual visits and, where appropriate, communications relating to your care. Depending on the circumstances, clinical communications may occur through secure messaging, the patient portal, telephone, email, text message, or other communication methods made available by VIDA Clínica Virtual. You understand that electronic communications may involve privacy and security risks. We will handle Protected Health Information in accordance with applicable law and the Notice of HIPAA Privacy Practices. Clinical communications should not be used to obtain emergency medical care. VIDA Clínica Virtual may establish reasonable response times and communication procedures for clinical messages.

EMERGENCIES AND URGENT MEDICAL CONDITIONS

VIDA Clínica Virtual is not an emergency medical service. Do not use the Website, patient portal, email, text message, or other Website communication channel to seek emergency assistance. If you believe you are experiencing a medical emergency or a condition requiring immediate attention, seek emergency medical care or contact the appropriate emergency service in your location. A delay in receiving a response from VIDA Clínica Virtual should never be relied upon when immediate medical attention is necessary.

PRESCRIPTIONS AND MEDICATIONS

Where clinically appropriate and legally permitted, a healthcare provider may prescribe or recommend medications as part of Medical Services. A prescription is not guaranteed. Your healthcare provider will determine whether medication is clinically appropriate based on your individual circumstances, medical history, current medications, allergies, applicable clinical standards, and applicable law. We do not guarantee that a particular medication will be prescribed, continued, changed, or renewed. You are responsible for providing accurate information regarding all medications, supplements, and other substances you use.

LABORATORY TESTING, RECORDS, AND THIRD-PARTY SERVICES

Medical Services may, from time to time, involve laboratory testing, diagnostic services, pharmacies, referrals, or other services provided by third parties. Where appropriate, VIDA Clínica Virtual or your healthcare provider may recommend or coordinate such services. Third-party services may be governed by separate terms, policies, fees, and privacy practices. We do not control third-party providers and do not guarantee the availability, quality, pricing, or results of services provided by third parties.

FEES AND PAYMENT

You agree to pay the fees applicable to the Medical Services you receive. Before receiving a service for which a specific fee applies, VIDA Clínica Virtual will provide the applicable pricing information to the extent required by applicable law. If insurance is accepted for any Medical Services, coverage and reimbursement are determined by the applicable insurance plan. You remain responsible for amounts that are not covered by your insurance, to the extent permitted by applicable law. If a payment is declined, reversed, or otherwise not received, we may require payment before providing additional non-emergency Medical Services.

APPOINTMENT CANCELLATIONS AND MISSED APPOINTMENTS

You should cancel or reschedule appointments in accordance with our applicable cancellation policy. Fees may apply to late cancellations, missed appointments, or other circumstances disclosed to you before scheduling. Nothing in this section limits any rights you may have under applicable law.

MEDICAL RECORDS

VIDA Clínica Virtual may create and maintain medical records in connection with Medical Services. You are responsible for providing accurate information and for notifying us of material changes that may affect your care. Your rights concerning access to, amendment of, or other requests relating to Protected Health Information and medical records are described in the Notice of HIPAA Privacy Practices and are subject to applicable law. We will not use these Medical Terms to limit any rights that cannot lawfully be limited.

PRIVACY AND PROTECTED HEALTH INFORMATION

Medical Services may involve the collection and use of health information, including Protected Health Information (“PHI”). The use and disclosure of PHI in connection with Medical Services is governed by applicable privacy laws and the Notice of HIPAA Privacy Practices. For information regarding how we handle personal information outside the context of PHI and Medical Services, please review the Privacy Policy. The Medical Terms do not replace or modify the Privacy Policy or the Notice of HIPAA Privacy Practices.

ELECTRONIC COMMUNICATIONS

By receiving Medical Services, you agree that VIDA Clínica Virtual and your healthcare providers may use electronic methods of communication for purposes related to your care, including scheduling, administrative communications, follow-up, and clinical communications, as permitted by applicable law. Marketing and promotional communications are governed separately by the applicable privacy and communications practices and are not part of the clinical relationship merely because they are sent through the same digital ecosystem. You may be required to provide and maintain accurate contact information to facilitate communications relating to your care.

NO AUTOMATED DIAGNOSIS OR TREATMENT

VIDA Clínica Virtual is a physician-led medical service. Unless expressly disclosed to you and permitted by applicable law, we do not delegate the provision of individualized diagnosis or treatment to automated systems. Technology may be used to support administrative, communication, documentation, scheduling, or other functions associated with Medical Services. Any use of technology in connection with your care does not replace the professional judgment and responsibilities of the healthcare provider responsible for your care.

CLINICAL CONTENT AND EDUCATIONAL MATERIALS

During the course of Medical Services, we may provide educational materials concerning your health, diagnosis, treatment options, medications, lifestyle, or other health-related matters. Educational materials provided in connection with your clinical care are intended to support your understanding and participation in that care. Such materials should be distinguished from the general educational content available through VIDA Notes and the self-paced educational programs offered through The Health Recovery Toolkit, which are governed by the Website Terms and Conditions and do not constitute individualized Medical Services.

RELATIONSHIP TO OTHER VIDA SERVICES

The Website operates several distinct offerings within the same brand ecosystem. VIDA Clínica Virtual provides individualized Medical Services. VIDA Notes provides general educational content and does not constitute individualized Medical Services. The Health Recovery Toolkit provides self-paced educational products and tools and does not constitute individualized Medical Services. Your status as a patient of VIDA Clínica Virtual does not automatically make other Website content or products part of your individualized medical care. Likewise, purchasing or accessing a Toolkit, reading VIDA Notes, or using other non-clinical portions of the Website does not establish a physician-patient relationship.

TERMINATION OR DISCONTINUATION OF CARE

You may choose to discontinue receiving Medical Services from VIDA Clínica Virtual, subject to any applicable legal or clinical requirements. VIDA Clínica Virtual or your healthcare provider may determine that continued care through VIDA is no longer appropriate or available, including where:

  • the care you require falls outside the scope of VIDA Clínica Virtual;
  • telehealth is no longer appropriate;
  • you are located in a jurisdiction where the provider cannot legally provide care;
  • an in-person evaluation or another level of care is required;
  • you fail to provide information necessary for safe care;
  • you do not comply with applicable payment or appointment requirements; or
  • other circumstances make continued care inappropriate or impracticable.

Where appropriate and required by applicable law, we will take reasonable steps to facilitate continuity of care, transition of care, or appropriate follow-up. Nothing in this section authorizes abandonment of a patient or limits any duty imposed by applicable law or professional standards.

NO GUARANTEE OF MEDICAL OUTCOMES

Medical care involves uncertainty and individual responses to treatment vary. VIDA Clínica Virtual and its healthcare providers do not guarantee a particular diagnosis, treatment result, symptom improvement, health outcome, or other clinical result. The absence of a particular outcome does not necessarily indicate that Medical Services were inappropriate or unsuccessful.

PROFESSIONAL INDEPENDENCE

Healthcare providers providing Medical Services through VIDA Clínica Virtual are responsible for exercising independent professional judgment in accordance with applicable law and professional standards. Nothing in these Medical Terms is intended to interfere with or limit a healthcare provider's independent clinical judgment.

THIRD-PARTY PROVIDERS AND SERVICES

We may work with third-party providers and service providers in connection with the delivery of Medical Services, including technology platforms, laboratories, pharmacies, payment processors, scheduling services, and other vendors. Third-party services may be subject to separate terms and privacy practices. Where a third party is independently responsible for providing a healthcare service, that service may be governed by the third party's own professional, contractual, and legal requirements.

INTELLECTUAL PROPERTY AND CLINICAL MATERIALS

Medical information, educational materials, written materials, graphics, software, and other content made available through the Website or in connection with Medical Services may be protected by intellectual property laws. Except as expressly permitted by us or applicable law, you may not reproduce, distribute, publish, modify, or commercially exploit Proprietary Technology, Proprietary Content, Trademarks and/or property of similar nature (as defined in the Website Terms and Conditions) made available to you through the Website and/or via Medical Services. Nothing in this section limits your rights to access or obtain your medical records as provided by applicable law.

DISCLAIMERS REQUIRED BY LAW

Nothing in these Medical Terms is intended to waive, limit, or disclaim any right, protection, professional obligation, or remedy that cannot lawfully be waived or limited. To the extent any provision of these Medical Terms is inconsistent with a mandatory requirement of applicable healthcare, telehealth, consumer-protection, privacy, or other law, that requirement will control.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIDA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE USE OF THE MEDICAL SERVICES.

NOTHING IN THESE MEDICAL TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING LIABILITY FOR CONDUCT THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.

GOVERNING LAW AND DISPUTE RESOLUTION

These Medical Terms are governed by the laws specified in the applicable Website Terms and Conditions, except to the extent that applicable healthcare, telehealth, professional licensing, consumer-protection, or other mandatory law requires otherwise. Any dispute-resolution provisions applicable to Medical Services will be subject to applicable law and the enforceability of those provisions in the jurisdiction in which the Medical Services are provided.

CHANGES TO THESE MEDICAL TERMS

We may update these Medical Terms from time to time. If material changes are made, we will provide notice as required by applicable law. The version of the Medical Terms in effect at the time Medical Services are provided will govern those services, subject to applicable law and any requirements concerning notice or consent.

SEVERABILITY

If any provision of these Medical Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

ENTIRE AGREEMENT AND ORDER OF PRECEDENCE

These Medical Terms, together with any applicable consents, notices, policies, and agreements expressly incorporated into them, govern the provision of Medical Services through VIDA Clínica Virtual. The Website Terms and Conditions govern use of the broader Website non-clinical offerings. The Privacy Policy governs the handling of personal information as described therein. The Notice of HIPAA Privacy Practices describes VIDA's uses and disclosures of Protected Health Information and applicable patient rights.

In the event of a conflict:

  • 1. applicable mandatory law will control;
  • 2. applicable clinical consent or legally required disclosure will control with respect to the subject matter it governs;
  • 3. the Notice of HIPAA Privacy Practices will govern matters specifically concerning HIPAA and Protected Health Information;
  • 4. these Medical Terms will govern the provision of Medical Services; and
  • 5. the Website Terms and Conditions will govern general Website use and/or non-clinical offerings.
